BOARD OF DIRECTORS
John Mackay, Director and Executive Chairman
John is a co-founder, Executive Chairman and Director of Mosaic Capital Corporation. He has over 30 years of experience as an entrepreneur taking his first company public in 1988. For 11 years, he practiced law, as a Partner at McCarthy Tetrault LLP in the Corporate Finance and Mergers and Acquisitions group, where he was involved with over $1 billion worth of transactions. Over the past 10 years John has been involved in starting, acquiring and running many successful private and public companies in a wide variety of businesses in both domestic and international markets. John’s involvement in these businesses include corporate finance, strategic development, business plan execution, M&A execution and litigation.
John is past Chair of the Securities Law Subsection of the Canadian Bar Association and is a past member of the Securities Advisory Committee to the Alberta Securities Commission. He received a Bachelor of Law (Honours) from the University of Durham in the United Kingdom in 1993 and has been a member of the Law Society of Alberta since 1994.
Mark Gardhouse, President and Chief Executive Officer
Mark is President and Chief Executive Officer of Mosaic. He joined Mosaic in July 2016 and prior to that, for five years, had been the President and CEO of a $500 million revenue conglomerate headquartered in Edmonton, Alberta. From 2005 to 2010, Mark held the position of President and COO of C.A. Bancorp Inc., a Toronto Stock Exchange listed alternative asset management firm, which he successfully grew from start-up to $560 million in assets under management. Prior thereto, Mark led the equity buyout group at RoyNat Capital Inc. with a focus on transactions in the Canadian middle market.
Harold Kunik, Director (1)
Harold is a co-founder and Director of Mosaic Capital Corporation. He has over 20 years of experience as a private equity and venture capital fund manager, in corporate turn-arounds and restructurings. He began his career with KPMG Peat Marwick doing corporate restructurings and business planning for clients across a broad range of industries. He then joined Western New Ventures Capital Corporation, a private equity firm where he became a partner and played a key role as chief financial officer and as a director of several of the investee companies. In 2001, he joined Avenir Capital Corporation, a private equity fund as Managing Director, Investments, and later managed the Avenir Growth Fund. Harold is a Certified Management Accountant (CMA) and Chartered Accountant (CA).
William H. Smith, Director and Vice Chairman (1)
Bill has over 40 years of experience as an advisor to public and private companies, individuals and corporations. He is a former senior partner at McCarthy Tetrault LLP in the Corporate Finance and Mergers and Acquisitions group, where he was involved in over $3 billion worth of transactions. Bill is the former Executive Vice President of a $4 billion international oil and gas company, the past Executive Director of the Alberta Securities Commission and was the Chair of the Alberta Securities Advisory Committee for 10 Years. Bill is currently a director of several public and private companies.
Gary Bentham, Director (1)
Gary is the principal of BTM Advisory, founded in 2005 that provides corporate finance, restructuring and business advisory services to companies in Canada and the United States. He has facilitated corporate transactions, restructurings and financings in the real estate development, energy services, manufacturing and financial services industries. Previously in his career, Gary was a corporate recovery and audit partner with KPMG Canada where he served public and private company clients and served on KPMG Canada’s Board of Directors for five years.
Currently, Gary is a director of several public and private companies and recently completed a six-year term as a member of the SAIT Polytechnic Board of Governors. Gary is a Chartered Professional Accountant, a Chartered Insolvency and Restructuring Professional and a member of the Canadian Institute of Corporate Directors.
George Flemming, Director
George was President and CEO of Plains Environmental Inc., a private oilfield and industrial services firm, where he remains as a director and shareholder. Since May 2016 George has worked as an independent investor and consultant. From 2000 until 2009, George was an investment banker with Canaccord Genuity Group Inc. where he focused on capital raising, advisory engagements and corporate transactions in the oilfield services and diversified industries sectors. Prior thereto, George was a corporate and securities lawyer for an Alberta-based regional law firm.
